Terms & Conditions
These Terms & Conditions (“Terms”) are a legally binding agreement between you and HavOdds Private Limited (“Zyumm”, “we”, “us”) and govern your access to and use of the Zyumm customer app, the Zyumm Driver app, the Zyumm Restaurant app, and our website (together, the “Platform”). Please read them together with our Privacy Policy, Refund & Cancellation Policy and Delivery Policy, which are incorporated by reference.
1. Acceptance & eligibility
By creating an account, or by accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. You must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872. If you use the Platform on behalf of a business (e.g. a restaurant), you represent that you are authorised to bind that business.
2. Our role — a technology marketplace
Zyumm operates a technology platform that connects customers with independent restaurants and independent delivery partners. We are an “intermediary” under the Information Technology Act, 2000. Except where we expressly state that we prepare or sell food ourselves:
- Food is prepared and sold by the restaurant, not by Zyumm.
- Delivery is performed by independent delivery partners, not employees of Zyumm.
- We are not a party to the contract of sale of food between the customer and the restaurant; we facilitate the transaction and delivery.
3. Your account
You must provide accurate, current and complete information and keep it updated. You are responsible for all activity under your account and for keeping your login credentials (including OTPs) confidential. Notify us immediately of any unauthorised use. We may refuse, suspend or terminate accounts that violate these Terms or applicable law.
4. Placing orders
When you place an order, you make an offer to purchase the selected items from the restaurant at the listed price. The order is confirmed only when the restaurant accepts it. Menu availability, item images and descriptions are provided by restaurants and may vary. We and the restaurant may cancel or reject an order (e.g. item unavailable, kitchen closed, suspected fraud, or an area we cannot serve), in which case any amount charged is refunded per our Refund & Cancellation Policy.
5. Prices, fees & taxes
- Item prices are set by the restaurant and shown before you pay.
- Your total may include a delivery fee, packaging charge, applicable taxes (including GST), and, at times of high demand, a surge/long-distance fee — each shown in the bill summary before payment.
- Discounts and coupons are subject to their stated conditions and may be withdrawn or changed at any time.
- All prices are in Indian Rupees (₹) unless stated otherwise.
6. Payments
You can pay online through our third-party payment aggregator(s) or by cash on delivery where available. By choosing online payment you authorise the charge for the total order amount. We do not store your full card/UPI credentials. For cash on delivery, you agree to pay the delivery partner the exact amount due on delivery.
7. Cancellations & refunds
Because food is prepared fresh to order, cancellation and refund rights are limited once preparation begins. Full details — including when you can cancel, how refunds are calculated, and timelines — are set out in our Refund & Cancellation Policy.
8. Food quality, allergens & safety
The restaurant is solely responsible for the quality, safety, packaging, freshness, quantity, ingredients and lawful preparation of the food, and for holding a valid FSSAI licence. Nutritional information, calorie counts and allergen details, where shown, are provided by restaurants and are indicative only. If you have a food allergy or dietary restriction, do not rely solely on the app — check with the restaurant.Zyumm does not guarantee that any item is free of a particular allergen or contaminant.
9. Acceptable use
You agree not to:
- Use the Platform for any unlawful, fraudulent or abusive purpose.
- Impersonate others, or provide false, misleading or stolen payment information.
- Harass, threaten or abuse delivery partners, restaurant staff or our team.
- Interfere with, disrupt, reverse-engineer, scrape or overload the Platform.
- Post unlawful, defamatory, obscene or infringing content.
- Place fake, speculative or repeated non-genuine orders.
Violations may result in suspension or termination and legal action.
10. Additional terms for Delivery Partners
- You act as an independent contractor, not an employee, agent or partner of Zyumm. Nothing here creates an employment relationship.
- You must hold a valid driving licence, vehicle documents and insurance as required by law, obey all traffic and road-safety laws, and complete our verification (KYC).
- You are responsible for your taxes, and you agree to handle orders, cash and customer data honestly and safely. We may deactivate partners for safety, fraud, low quality or legal reasons.
11. Additional terms for Restaurant Partners
- You must hold and maintain a valid FSSAI licence/registration, GST registration (if applicable), and all other permits required to prepare and sell food, and keep them current on the Platform.
- You are responsible for menu accuracy (items, prices, images, taxes, veg/non-veg labelling, allergen and nutrition info), food safety and hygiene, and timely, correct preparation.
- You authorise us to list your menu, collect payments on your behalf, and deduct agreed commissions, fees and taxes before settlement. Settlement terms are per your partner agreement.
- You are responsible for issuing tax invoices to customers as required by law.
12. Reviews & user content
You are responsible for content you submit (reviews, ratings, photos, menu content). By submitting content you grant Zyumm a worldwide, royalty-free, non-exclusive licence to use, host, display and distribute it on the Platform for operating and promoting the service. Content must be genuine and lawful; we may remove content that violates these Terms or the law.
13. Intellectual property
The Platform, including the Zyumm name, logo, running-figure mark, software, design and content (other than user/restaurant content), is owned by or licensed to Zyumm and protected by intellectual-property laws. You receive a limited, revocable, non-transferable licence to use the Platform for its intended purpose. You may not copy, modify, distribute or create derivative works without our written permission.
14. Disclaimers & limitation of liability
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Zyumm disclaims all warranties, express or implied, and is not liable for the acts or omissions of restaurants or delivery partners, for food quality or safety, or for delays, unavailability or interruptions.
To the maximum extent permitted by law, Zyumm’s total aggregate liability arising out of or relating to your use of the Platform or any order is limited to the greater of (a) the amount you paid for the specific order giving rise to the claim, or (b) ₹1,000. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including under the Consumer Protection Act, 2019.
15. Suspension & termination
You may stop using the Platform and request account deletion at any time. We may suspend or terminate your access, with or without notice, for breach of these Terms, suspected fraud or illegal activity, risk to safety, or where required by law. Provisions that by their nature should survive termination (e.g. payment, IP, disclaimers, liability, governing law) will survive.
16. Governing law, disputes & grievances
These Terms are governed by the laws of India. Subject to any right you have under the Consumer Protection Act, 2019, the courts described as the competent courts at Jaipur, Rajasthan will have jurisdiction. In line with the Consumer Protection (E-Commerce) Rules, 2020 and the IT Rules, 2021, complaints may be addressed to our Grievance Officer whose details appear below; we aim to acknowledge complaints within 48 hours and resolve them within the timelines prescribed by law.
We may update these Terms from time to time; material changes will be notified in-app or on the website, and continued use constitutes acceptance.
